1. User's Acknowledgment and Acceptance of Terms

By accessing, browsing, or using SeySpace ("Platform", "Service", "we", "us", or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately discontinue use of the Platform.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and SeySpace. We reserve the right to modify these Terms at any time. Continued use of the Service after any modifications constitutes your acceptance of the updated Terms.

By clicking "I Agree," creating an account, or using any SeySpace service, you confirm that you are at least 18 years of age and have the legal capacity to enter into this agreement.

2. License Agreement

Subject to your compliance with these Terms, SeySpace grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes related to professional photography, creative services, and client management.

This license does not include the right to:

• Modify, reproduce, distribute, or create derivative works based on the Platform
• Reverse engineer, decompile, or disassemble any portion of the Platform's software
• Remove, alter, or obscure any proprietary notices on the Platform
• Use the Platform for any purpose that competes with SeySpace
• Sublicense, lease, rent, or transfer your access to any third party
• Use automated systems or software to extract data from the Platform ("scraping")

This license is automatically revoked upon termination of your account or violation of these Terms.

3. Registration Data and Privacy

To access certain features of SeySpace, you must register for an account. During registration, you agree to provide accurate, current, and complete information about yourself. You are responsible for maintaining the accuracy of this information and for updating it as necessary.

Account Information Collected:

• Full legal name and professional/studio name
• Valid email address
• Phone number (optional)
• Business information and specialty
• Payment and billing information (processed securely via third-party providers)

Your privacy is important to us. Please review our Privacy Policy for detailed information on how we collect, use, and protect your data. By using SeySpace, you consent to the data practices described in our Privacy Policy.

You may not create multiple accounts without authorization, impersonate another person, or use a false identity. Violation of this section may result in immediate account termination.

4. Account Fees and Features

Certain plans of SeySpace's products and services require payment of fees as stated on our website. You are required to pay all applicable fees in advance to use any paid products or services. SeySpace reserves the right to change its fees and services at any time with reasonable notice. All fees are displayed in GBP (£) unless otherwise stated and do not include any applicable taxes. You are responsible for all applicable taxes relating to your use of SeySpace. If we are obligated to collect taxes for the fees paid by you, the tax amount will be added to your payment.

Your subscription to paid services will automatically renew at the end of each billing period for the same duration as the original term, unless the subscription is terminated or canceled by you prior to the end of the term through your online dashboard. You may update or cancel your account subscription to paid services at any time. You will not receive a refund for unused time except at our sole discretion, or as otherwise required by applicable law.

You agree that upon renewal of your subscription term, the payment method designated on your account will be charged the applicable fee in effect at the time of renewal. We reserve the right to terminate your subscription if we are unable to process payment with your designated payment method. If at any time we are unable to process fees, receive a declined transaction, or receive a chargeback on your account, your access to our products and services may be automatically suspended or terminated.

In the event of a chargeback dispute, you will be required to pay any outstanding fees and any additional fees incurred as a result of the chargeback before your account and services can be restored. SeySpace reserves the right to pursue collection of any unpaid fees through appropriate legal channels.

If your account is canceled or terminated, the contents of your account may be removed immediately. This includes, but is not limited to, any photographs, galleries, documents, client data, or other content you have uploaded to the platform, as well as any end-user data collected during your usage of our products and services. We are not liable for any loss of data, user content, or other materials as a result of account cancellation or termination.

Current subscription tiers and their associated storage limits are as follows:

• Free Tier: Holds ~2 client galleries, standard watermark
• Starter Suite: 100 GB storage, holds ~100 client galleries, no daily upload limits
• Pro Suite: 300 GB storage, holds ~300 client galleries, no daily upload limits
• Pro Suite +: 1 TB storage, holds ~1000 client galleries, no daily upload limits
• Studio Suite: 3 TB storage, holds ~3000 client galleries, no daily upload limits

5. Security and Password

You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to:

• Create a strong, unique password that is not used for other services
• Never share your login credentials with any third party
• Immediately notify SeySpace of any unauthorized access or security breach
• Log out of your account after each session, especially on shared devices

SeySpace employs industry-standard security measures including SSL/TLS encryption, secure cloud storage, and regular security audits. However, no system is completely secure, and we cannot guarantee absolute protection against all threats.

You acknowledge that you are responsible for all activities that occur under your account. SeySpace shall not be liable for any loss or damage arising from unauthorized access due to your failure to comply with these security obligations.

6. Usage Policy

SeySpace is designed for professional photographers, creative professionals, and related businesses. You agree to use the Platform only for lawful purposes and in accordance with these Terms.

Prohibited Activities:

• Uploading or distributing illegal, obscene, defamatory, or harmful content
• Uploading content that infringes on third-party intellectual property rights
• Hosting content unrelated to professional photography or creative services
• Using the Platform for adult content, violence, or hate speech
• Transmitting viruses, malware, or other malicious code
• Interfering with the Platform's operation or other users' access
• Attempting to gain unauthorized access to any systems or data
• Using the Platform for spam, phishing, or fraudulent activities
• Reselling or redistributing SeySpace services without authorization

We reserve the right to remove any content and suspend or terminate accounts that violate this Usage Policy, without prior notice or refund.

7. Fair Usage Policy

To ensure optimal performance for all users, SeySpace enforces fair usage limits on storage, bandwidth, and system resources.

7a. Enterprise Data Isolation & Security

For users on Enterprise and Studio tiers, SeySpace employs strict data isolation protocols. All user data, including photographs, client information, and internal records, are cryptographically and logically scoped by Organization and Workspace IDs. This ensures that your enterprise data remains strictly separate from other users on the platform.

7b. Platform Management & Administrative Access

To provide high-touch support and maintain system integrity, authorized SeySpace personnel—including Sovereign Admins, Operational Bridge, and Success Concierges—may access user accounts and data. This access is strictly limited to support, maintenance, and security purposes. All administrative actions are recorded in an immutable audit log to ensure accountability and transparency.

Storage Enforcement:

• Uploads that exceed your tier's storage limit will be rejected
• Uploads that exceed your daily quota will be rejected until the next day
• Files exceeding your tier's maximum file size will be rejected
• Content exceeding retention periods is automatically deleted

Notifications: We send email alerts when your storage approaches capacity and when content is nearing expiration (5 days and 2 days before deletion for Free tier users).

Abuse Prevention: Accounts exhibiting unusual activity patterns, excessive API calls, or suspected automation may be temporarily suspended pending investigation. We reserve the right to permanently terminate accounts that abuse our systems.

8. Intellectual Property

SeySpace Property

The Platform, including its design, code, features, logos, trademarks, and all associated intellectual property, is owned exclusively by SeySpace and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of the Platform without express written permission.

Your Content

You retain full ownership of all content you upload to SeySpace. By uploading content, you grant SeySpace a limited, non-exclusive, worldwide license to host, store, display, and transmit your content solely for the purpose of providing the Service to you and your clients.

This license terminates when you delete your content or close your account, except for content already downloaded by authorized clients or cached in our backup systems (which will be deleted according to your subscription tier's retention policy, ranging from 30 days to 2 years).

Third-Party Content

You represent and warrant that you own or have the necessary rights to all content you upload, including proper releases from subjects in photographs. You agree to indemnify SeySpace against any claims arising from content you upload.

Inspiration Vault and Network Content

SeySpace provides an "Inspiration Vault" feature allowing users to save, clip, and organize image URLs and references from third-party websites (such as Pinterest, Instagram, or other platforms) for creative planning. You acknowledge and agree that:

• You are solely responsible for ensuring you have the legal right to clip, save, and use any third-party images or URLs you add to your Inspiration Vault.
• SeySpace acts strictly as a neutral hosting platform and organizational tool. We do not claim ownership of, nor do we endorse, any third-party content clipped into the Inspiration Vault.
• If you choose to publish clipped content to the public "Inspiration Network," you represent and warrant that you have the right to display such content publicly.
• SeySpace shall not be held liable for any copyright infringement, intellectual property disputes, or other legal claims arising from your clipping, saving, or sharing of third-party images or URLs.
• We will promptly remove any content upon receiving a valid DMCA takedown notice or other verified claim of infringement from the copyright owner.

9. Selling Products or Prints Through SeySpace

SeySpace provides features that allow you to sell digital downloads, prints, and products directly to your clients through integrated e-commerce functionality.

Merchant of Record: When you sell through SeySpace, you act as the merchant of record. You are responsible for:

• Setting accurate prices for your products
• Fulfilling orders in a timely manner (for physical products)
• Handling customer service and disputes with your clients
• Complying with consumer protection laws in your jurisdiction
• Collecting and remitting applicable sales taxes

Payment Processing: Payments for client purchases are processed through our payment partners. SeySpace may deduct applicable transaction fees before disbursing funds to your connected account.

Prohibited Sales: You may not sell content that infringes intellectual property rights, violates any law, or contains prohibited material as defined in our Usage Policy.

10. Email, Messaging, Blogging, and Chat Services

SeySpace provides communication tools including emails to clients, in-platform messaging, blog publishing, and client chat features. You agree to use these services responsibly and in compliance with applicable laws.

Anti-Spam: You may only send communications to individuals who have consented to receive them or with whom you have an existing business relationship. Mass unsolicited emails (spam) are strictly prohibited and may result in account termination.

Content Standards: All communications must be professional, lawful, and free from harassment, threats, or discriminatory language. You are solely responsible for the content of your messages.

Blog Publishing: Content published through SeySpace's blog feature must comply with our Usage Policy. We reserve the right to remove blog content that violates these Terms.

AI Concierge: SeySpace may offer AI-powered chat assistance. While we strive for accuracy, AI responses are provided for convenience and should not be considered professional advice. You remain responsible for verifying information and making informed decisions.

11. Referral Program

SeySpace may offer a referral program that rewards users for introducing new customers to the Platform. Participation is subject to the following terms:

• Eligibility: Only active accounts in good standing may participate
• Referral Credits: Credits are awarded when a referred user signs up and maintains an active paid subscription for at least 30 days
• Self-Referrals Prohibited: Creating multiple accounts to earn referral credits is fraud and will result in termination
• Credit Usage: Referral credits can be applied toward subscription fees but cannot be exchanged for cash
• Program Changes: We reserve the right to modify or discontinue the referral program at any time

Abuse of the referral program, including fraudulent referrals or violations of these Terms, will result in forfeiture of all credits and potential account termination.

12. International Use

SeySpace is operated from and governed by the laws of the jurisdiction where our company is registered. The Platform is accessible globally, but we make no representation that it is appropriate or available for use in all locations.

Your Responsibilities:

• You are responsible for compliance with local laws in your jurisdiction
• You must comply with all applicable export and import regulations
• You acknowledge that data may be transferred and stored internationally
• You are responsible for all applicable taxes in your country or region

GDPR Compliance: For users in the European Economic Area, we comply with the General Data Protection Regulation (GDPR). See our Privacy Policy for details on data processing and your rights.

Restricted Regions: SeySpace may restrict access from certain countries or regions due to legal requirements or sanctions. Attempting to circumvent geographic restrictions is prohibited.

13. Payment Processing & Disclaimer

Payments to SeySpace (Subscriptions)

For subscription fees paid to SeySpace, we use Stripe as our payment processor. SeySpace does not store any credit card information on our servers.

Payments to Photographers (Client Transactions)

Seyspace is a software platform that enables photographers to present services, manage bookings, and accept payments through third-party payment providers.

Seyspace does not process, store, or hold client funds. All payments made by clients are processed directly by the photographer’s selected payment provider.

Seyspace is not a party to any transaction between clients and photographers and is not responsible for payment disputes, refunds, chargebacks, or tax obligations arising from such transactions.

Refunds & Disputes: Refunds and payment disputes are handled directly by the photographer through their payment provider. SeySpace is unable to issue refunds or intervene in payment disputes between photographers and their clients.

14. Global Sales Tax & Tax Obligations

You are solely responsible for determining, collecting, reporting, and paying any applicable taxes, duties, levies, or other governmental assessments ("Taxes") associated with your use of the Services.

SeySpace is not responsible for collecting or remitting Taxes on your behalf unless explicitly required by law in specific jurisdictions where we are the merchant of record. You agree to indemnify and hold SeySpace harmless from any liability regarding your failure to comply with tax obligations.

When selling prints or products to your clients, you are responsible for collecting and remitting sales tax as required by applicable law.

15. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, SeySpace disclaims all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of any content
• Warranties that defects will be corrected or that the Platform is free of viruses

You use the Platform at your own risk. We do not guarantee that files uploaded will be preserved indefinitely or that the Service will meet your specific requirements.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEYSPACE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data, files, or content (including automatic deletion after retention periods)
• Loss of goodwill or reputation
• Cost of substitute services
• Any damages resulting from unauthorized access to or alteration of your data

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO SEYSPACE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability shall be limited to the greatest extent permitted by law.

17. Indemnification

You agree to indemnify, defend, and hold harmless SeySpace, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of the Platform
• Your violation of these Terms
• Your violation of any rights of any third party
• Content you upload, store, or transmit through the Platform
• Your failure to comply with applicable laws or regulations
• Any transaction or dispute between you and your clients

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims.

18. Termination of Use

By You: You may terminate your account at any time by contacting support or using the account deletion feature in your settings. Upon termination:

• Your access to the Platform will be revoked immediately
• Unused subscription time will not be refunded (except as required by law)
• Your content will be retained according to your subscription tier's retention policy (ranging from 30 days to 2 years) in case of accidental deletion, then permanently removed

By SeySpace: We may suspend or terminate your access to the Platform immediately, without prior notice or liability, if:

• You breach any provision of these Terms
• We are required to do so by law or court order
• We reasonably believe your conduct may cause legal liability for us or others
• Your account has been inactive for more than 12 consecutive months (Free tier)

Effect of Termination: Upon termination, all provisions of these Terms that by their nature should survive (including intellectual property, limitation of liability, indemnification, and dispute resolution) shall continue in full force.

19. Notices

To You: We may provide notices to you via email to your registered address, in-app notifications, or by posting on the Platform. It is your responsibility to ensure your contact information is current and to check for notices regularly.

To SeySpace: All legal notices to SeySpace must be sent in writing to:

Notices are deemed received when delivered by email (upon sending), or when posted on the Platform (upon posting).

21. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and SeySpace regarding the use of the Platform. They supersede all prior agreements, understandings, and communications.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of SeySpace.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. SeySpace may assign its rights and obligations without restriction.

Force Majeure

SeySpace shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including natural disasters, war, terrorism, strikes, government actions, or internet outages.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

Dispute Resolution

Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of a recognized arbitration body in our jurisdiction.

Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms.
